Agreement to these terms
These terms are between Thelaywala (“we”, “us”; contact details below) and the organisation that creates an account (“you”), for the use of Thelaywala Sales Coach: the website and web app at salescoach.thelaywala.com and the desktop app for Windows and macOS (together, “the Service”). By creating an account, or by accepting an invitation to one, you agree to them on behalf of your organisation.
The Privacy Policy explains what we collect and where it goes; it is part of these terms. Our other services are governed by the terms on thelaywala.com; these terms govern the Service.

- Organisation: the customer account created at sign-up. Members are the people in it; an administrator can invite and remove them, manage billing and buy credits.
- Rep: a member running the desktop app during a call.
- Plan: Solo or Pro, the monthly subscription for the platform.
- Credits: the unit in which AI usage is metered; one credit is two thousand tokens of text sent to and received from the AI provider.
- Your content: the transcripts, summaries, customers, examples, documents and website pages in your organisation’s account.
Our services
A panel on a rep’s screen that transcribes a live sales call on the rep’s own computer, sends the text to our service, and shows suggestions for what to say next, grounded in the winning-call examples and documents your team has added. When a call is saved, it produces a summary and next steps, kept in your organisation’s account, and it drafts follow-ups and briefs on request. The web app holds your customers, saved calls, knowledge base, team, billing and credits.
It is not a call-recording product: no audio is stored or sent anywhere, only text. It is also not a promise about outcomes; see AI output, and what we do not promise.
Plans, credits and trials
Prices are in US dollars, and no tax is added at checkout.
- Solo is $29 a month for one person. A Solo organisation cannot invite anyone.
- Pro is $49 a month for the first person and $29 a month for each additional person, with no cap on the number of people. Your invoice shows the platform fee and the seats as two lines.
- A new organisation can try Solo free for fourteen days, for one person, without entering a card. There is no trial of Pro.
The plan buys the platform; AI usage is metered separately, in credits. One credit is two thousand tokens sent to and received from the AI provider; an embedding call, which the knowledge base and the live coaching make on their own, costs a flat 0.05 credits. Each paid monthly period includes 20,000 credits per paid user, added to your organisation’s shared balance when that period’s invoice is paid. Included credits are spent before purchased ones, expire at the end of the period they were granted for, and are not carried over. A free trial includes 2,000 credits, which expire when your first paid period starts. You can buy more at $0.50 per 1,000 credits, between 2,500 and 500,000 at a time, as a one-time payment made by an administrator: charged to the card Stripe already holds for your subscription, or on Stripe’s checkout page if it holds none. Purchased credits do not expire. When the balance reaches zero, the AI features stop until credits are added, including a call in progress; the app and the desktop panel warn while the balance is low, at 1,000 credits.
Automatic top-up is off unless an administrator turns it on, on the billing page, choosing an amount between 2,500 and 500,000 credits. While it is on, the moment the balance reaches zero we charge the card Stripe holds for your subscription for that amount, once, at the same price, and add the credits at once so that a call in progress carries on. It makes at most three attempts in any 24 hours. After any purchase that does not go through cleanly — a declined or expired card, a bank asking for confirmation, a fault on our side, a payment still processing — it stops charging until an administrator turns it back on, and the app and the desktop panel say so. The billing page states what it will do, naming the card by its last four digits.
The price you agree to is recorded on your subscription when it starts. If we change a plan price or the credit price, we give one month’s notice before the change applies to you.
Payment, billing and cancellation
- Payments are taken by Stripe on the card you register with Stripe: the plan monthly in advance, credits at the time of purchase, and, only if an administrator has turned automatic top-up on, a credit purchase at the moment the balance reaches zero, with nobody at the keyboard. Your billing page in the app opens Stripe’s portal to change the card, see invoices and cancel; only an administrator can open it.
- On Pro, the number of seats billed follows the number of people in the organisation. Adding a person charges the remainder of the current period for that seat straight away; removing a person credits the unused remainder against the next invoice. The renewal date does not move.
- Moving up from Solo to Pro takes effect immediately, and the difference for the rest of the period is invoiced then. Moving down from Pro to Solo is scheduled for the end of the current period, so you keep what you paid for; nothing is charged early.
- If a payment fails, the Service keeps working for five days while Stripe retries; after that it stops answering until the payment succeeds.
- You can cancel at any time. The subscription runs to the end of the period already paid for and is not renewed.
- When a trial or subscription ends, the desktop app’s licence check fails, the coaching and other metered features refuse new requests, and the installer can no longer be downloaded. A call already in progress at that moment is allowed to finish. Your data stays in the account for six months and is then deleted, as the Privacy Policy describes.
Refunds
Nothing in the Service is refunded automatically, and the Service does not issue refunds itself.
- Cancelling: the subscription runs to the end of the period you have paid for and then stops. The remainder of that period is not refunded.
- Moving down from Pro to Solo takes effect at the end of the current period; nothing is refunded and nothing is charged early. Moving up takes effect immediately and is invoiced then.
- Removing a person from a Pro organisation credits the unused remainder of that seat against your next invoice; it is not refunded to your card.
- Purchased credits are bought outright and do not expire; unused credits are not refunded, whether bought by hand or by automatic top-up. Included credits expire with the period and are not refunded or carried over.
- The trial takes no card, so there is nothing to refund.

Third-party services
The Service depends on providers we do not control: Supabase for sign-in and the database, Stripe for payments, OpenAI and Google for the AI, and Vercel for hosting. Their costs are inside our prices; there is nothing to pay them directly. Their terms apply to their part of the work, and their availability affects ours. We may change a provider; the Privacy Policy names the current ones.
Your responsibilities
- An account belongs to one organisation. The person who signs up becomes its administrator. Invitations expire after seven days.
- Each person signs in with their own account. Accounts are not to be shared, and a call is recorded under the account that took it.
- You are responsible for the people you invite, for what they do with the Service, and for keeping sign-in details safe. Removing a person ends their access immediately.
- Every member of an organisation can see the organisation’s customers, saved calls and knowledge base. Choose who you invite accordingly.
- You are responsible for the content your team adds and for having the right to add it, including the documents and website pages you give the knowledge base.
Transcribing calls
The Service transcribes both sides of a call on the rep’s computer and sends the text to us. It is your responsibility to make sure that is lawful where you and the people on your calls are — including telling participants that the call is being transcribed and obtaining any consent that the law requires. The rules differ by country and, in the United States, by state. The app does not do this for you: it shows the other party no notice and asks your rep for no confirmation, and its ability to hide itself from screen sharing does not change your responsibility.
Acceptable use
You agree not to:
- use the Service to transcribe anyone unlawfully, or in breach of a confidentiality obligation;
- use it for anything unlawful, deceptive, harassing or fraudulent, or to send bulk unsolicited communications;
- upload content you do not have the right to use;
- share an account, or use the Service on behalf of an organisation that is not yours;
- interfere with the Service, probe or bypass its security, or use it to build a competing product;
- copy, modify, redistribute or reverse-engineer the desktop app or the models inside it.

Your content and intellectual property
Your content is yours. You give us permission to store and process it to provide the Service — which includes sending the text to the AI providers named in the Privacy Policy — and for nothing else. Nothing from your organisation is shown to another, and we do not train AI models on your content.
The Service itself — the web app, the desktop app, the models inside it, and everything we built — is ours, and nothing in these terms transfers it. Suggestions, summaries and drafts the Service produces for you are yours to use. We may remove content we are legally required to remove.
Confidentiality
Your content is confidential to your organisation: it is visible to its members, to the providers that process it for us, and to nobody else, as the Privacy Policy describes. We do not read your calls to run the service, and our administration tools are built not to show them.
AI output, and what we do not promise
Suggestions, summaries, follow-up drafts, scores and customer identification are produced by language models from the text of the call. They can be inaccurate, incomplete or inappropriate for the situation, they depend on third-party models we do not control, and they are not advice. The rep decides what to say; nothing is said or sent to a customer automatically. We make no promise about sales outcomes.
We do not promise that the Service will be uninterrupted or free of errors: it depends on providers we do not control and will sometimes be unavailable. What your reps say on a call, what they do with a suggestion, and whether the people on the call have been told it is transcribed, are your organisation’s responsibility, as set out under Your responsibilities.
The desktop app
- The installer is obtained from your account, through a link that is valid for a few minutes and issued only while your organisation has an active trial or subscription.
- We give your organisation permission to install and run the app on the computers your members use for calls, for as long as your trial or subscription lasts. The app signs in with a member’s own account and checks the subscription and the credit balance while it runs.
- The speech-recognition models ship inside the app and run on the computer. The app and the models remain ours; you may not copy, modify, redistribute or reverse-engineer them.
- The app asks the operating system to hide its window from screen capture. That is a convenience for the rep and not a guarantee, and it does not change your obligations under Your responsibilities.
Term and termination
These terms apply from the day the account is created for as long as the organisation exists. You can stop using the Service at any time by cancelling, as described under Payment, billing and cancellation. We may suspend an account that breaks these terms, and end it if the problem is not fixed after we have told you about it, or if the law requires us to. When an account ends, whether you cancelled or we ended it, your data is kept for six months and then deleted, as the Privacy Policy describes; ask us and we will delete it sooner.
Governing law
These terms are governed by the law of Pakistan, and any dispute about them is for the courts of Pakistan.
Changes to these terms
When these terms change, the date at the top changes with it, we announce the change in the app’s dashboard, and the change applies from that date.
